Helicon Terms of Service

Welcome to Helicon (“Helicon,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of the Helicon online portal, directory, and community engagement services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Services.

1.   Eligibility

  • You must be at least 18 years old and legally capable of entering into binding contracts to use the Services.

  • By creating an account, you represent and warrant that you meet these requirements.

 2.   Accounts & Registration

  • To access certain features, you must register for an account and provide accurate, complete, and current information.

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.

  • Notify us immediately of any unauthorized use of your account.

3.   Subscriptions & Payment

  • Some Services require a paid subscription. Pricing and billing terms will be presented at the time of purchase.

  • Subscriptions renew automatically unless canceled prior to the renewal date.

  • You authorize us (or our payment processor) to charge your payment method for applicable fees.

  • All fees are non-refundable except as required by law.

4.   Acceptable Use

You agree not to use the Services to:

  • Violate any applicable laws or regulations.

  • Infringe or misappropriate the intellectual property or rights of others.

  • Transmit unlawful, harmful, harassing, defamatory, or otherwise objectionable content.

  • Introduce viruses, malware, or other harmful code.

  • Attempt to gain unauthorized access to the Services or interfere with their operation.

5.   Community Guidelines

When engaging with the Helicon community:

  • Treat others with respect.

  • Do not post spam, self-promotion unrelated to Helicon’s mission, or misleading content.

  • Do not engage in harassment, hate speech, or abusive behavior.

  • Helicon may remove any content or suspend accounts that violate these guidelines.

6.   Intellectual Property

  • Helicon and its licensors retain all rights, title, and interest in and to the Services, including all software, trademarks, and content.

  • You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business or personal purposes, subject to these Terms.

  • You retain ownership of any content you submit, but grant Helicon a worldwide, non-exclusive, royalty-free license to use, display, and distribute such content solely for the operation of the Services.

7.   Third-Party Content & Links

  • The Services may include links to third-party websites or resources.

  • Helicon is not responsible for the availability, accuracy, or content of such third-party sites or resources.

8.   Disclaimers

  • The Services are provided “as is” and “as available” without warranties of any kind.

  • Helicon disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

  • Helicon does not guarantee uninterrupted or error-free operation of the Services.

9.   Limitation of Liability

To the fullest extent permitted by law:

  • Helicon will not be liable for any indirect, incidental, consequential, special, or punitive damages.

  • Our total liability arising out of or relating to these Terms or the Services will not exceed the greater of (i) the amount you paid to use the Services in the 12 months before the claim arose, or (ii) $100.

10.   Indemnification

You agree to indemnify and hold harmless Helicon, its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services or violation of these Terms.

11.  Termination

  • We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms or if we otherwise deem it necessary.

  • You may terminate your account at any time by following account closure instructions.

12.   Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles.

  • Any disputes will be resolved exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

13.   Changes to Terms

  • Helicon may update these Terms from time to time.

  • We will notify you of material changes by posting the revised Terms and updating the Effective Date.

  • Continued use of the Services constitutes acceptance of the updated Terms.
